Compugen Ltd. Prices Public Offering of Ordinary Shares

TEL AVIV, ISRAEL –February 28, 2014 – Compugen Ltd. (NASDAQ: CGEN; TASE; CGEN) today announced that it has priced an underwritten public offering of 6,000,000 ordinary shares at a price to the public of $10.50 per share. Gross proceeds to Compugen are expected to be $63 million, before deducting the underwriting discounts and commissions and estimated offering expenses payable by Compugen. The offering is expected to close on or about March 5, 2014, subject to satisfaction of customary closing conditions. Compugen has granted the underwriters a thirty (30) day option to purchase up to 900,000 additional ordinary shares.

Jefferies LLC is acting as the sole bookrunner for the proposed offering.  JMP Securities LLC, Oppenheimer & Co. Inc. and Chardan Capital Markets are acting as co-managers.

A shelf registration statement on Form F-3 relating to the public offering of the ordinary shares described above has been filed with the Securities and Exchange Commission (the “SEC”) and is effective.
